END CUSTOMER AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE PLATFORM

WiFiCloudNet offers their services on following terms and conditions.

By clicking on "I AGREE” (“I AGREE”) on the Platform when logging in for the first time, you represent that you have read, understood, and agree to be bound by this Agreement and to use the Platform in compliance with this Agreement. Platform. The effective date of this Agreement is the date that you click on "I AGREE".

If you do not agree to this Agreement, please do not click “I AGREE” but “I REJECT” and you are not permitted to access or use the platform.

SECTION 1: SERVICES

1.1 Subject to your payment of the Price to WiFiCloudNet, we provide you with access to the Platform commencing as of the date you first access the Platform through the expiration of the Term, subject to the terms of this Agreement. We also provide you with the Support Services and warranty services as described in further detail below.

1.2 You are responsible for your use of the Platform in full compliance with this Agreement and for all activities engaged in by you and your Users while using your Services.

SECTION 2: COPYRIGHTS

All content included on wificloudnet.com , such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, as well as the compilation of that content into one, coherent website, is the property of WiFiCloudNet and protected by Indian copyright laws. Reproduction of the content of wificloudnet.com without the written permission of WiFiCloudNet is prohibited.

SECTION 3: TRADEMARKS

WiFiCloudNet trademark, the WiFiCloudNet logo, , and other WiFiCloudNet graphics, logos, page headers, button icons, scripts, and service names are trademarks,. WiFiCloudNet's trademarks, have inherent meaning and substantial value because of their restricted use. They may not be used in connection with any product or service that is not WiFiCloudNet's, in any manner without WiFiCloudNet's permission.

SECTION 4: LICENSE TO ACCESS wificloudnet.com AND SERVICES

In consideration for accessing wificloudnet.com and the Service, WiFiCloudNet grants you a limited license to access and make personal use of the website. This license prohibits your downloading (other than page caching) or modifying any portion of it, except with express, written consent of WiFiCloudNet. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of wificloudnet.com without express written consent of WiFiCloudNet. You may not use any meta tags or any other 'hidden text' utilizing WiFiCloudNet's name or trademarks without the express written consent of WiFiCloudNet. Any unauthorized use automatically terminates the permission or license granted by WiFiCloudNet and may incur legal liabilities for any damages.

You are granted a limited, revocable, and nonexclusive right to create a hyperlink to any non-password protected directories, so long as the link does not portray WiFiCloudNet, its affiliated websites, or its services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any of WiFiCloudNet's proprietary graphics or trademarks as part of the link without express written permission.

SECTION 5: LICENSE FOR WIFICLOUDNET ACCOUNT(S) & SUBSCRIPTION

WiFiCloudNet offers Account and AP based licenses. Account license is for basic account with WiFiCloudNet and Per AP licenses allow managing a specific device for a specified time, e.g. 1mo, 1yrs or 2yrs. Account & Additional APs payment are on monthly basis and to be paid in advance within a seven days after the Invoie is raised. The account of the user will be blocked after seven days until the user will make a payment. A blocked account will not compromise operations of Access Points, which will still remain fully functional and will allow clients to connect to them and to navigate in Internet through them, provided they are correctly configured and connected to the Internet. You agree that your WiFiCloudNet account and licenses are non-transferable except with the written consent of WiFiCloudNet.

SECTION 6: ACCOUNTS AND PASSWORDS

If you are issued an account, you are responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account or password. WiFiCloudNet reserves the right to, under its sole discretion, refuse service, suspend or terminate accounts, or otherwise restrict access to wificloudnet.com and the WiFiCloudNet Service.

SECTION 7: USE OF THE WIFICLOUDNET DASHBOARD

You may choose to allow WiFiCloudNet to access certain devices, such as access points, in order to automate the configuration and monitoring process. If you opt to do so, you expressly authorize WiFiCloudNet to access and update your device configuration, on your behalf as your agent. When you use the WiFiCloudNet Cloud Dashboard feature of the Service, you will be directly connected to the configuration interface for the third party device you have identified. WiFiCloudNet will submit information including usernames and passwords that you provide to log you into the configuration interface of the device. You hereby authorize and permit WiFiCloudNet to use information submitted by you to the Service (such as account passwords and user names) to accomplish the foregoing and to configure the Service so that it is compatible with the third party devices for which you submit your information. For purposes of this Agreement and solely to provide the account information to you as part of the Service, you grant WiFiCloudNet a limited power of attorney, and appoint WiFiCloudNet as your attorney-in-fact and agent, to access third party sites, retrieve and update your information with the full power and authority to do and perform each thing necessary in connection with such activities, as you could do in person.

YOU ACKNOWLEDGE AND AGREE THAT, YOU LOAD/FLASH A WIFICLOUDNET PROVIDED FIRMWARE ONTO ANY 3RD PARTY DEVICE, YOU DO THAT AT YOUR OWN RISK. WIFICLOUDNET CAN NOT BE CONSIDERED LIABLE FOR DAMAGES THAT ARE THE RESULT OF A POURLY EXECUTED FLASHING OPERATION, ALSO A FLASHING WITH A WRONG FIRMWARE OR ANY OTHER DAMAGE RELATED TO A FLASHED 3RD PARTY DEVICE. YOU ALSO AGREE THAT, WHEN WIFICLOUDNET IS ACCESSING AND RETRIEVING DEVICE INFORMATION FROM THIRD PARTY DEVICES, WIFICLOUDNET IS ACTING AS YOUR AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF THE THIRD PARTY.

SECTION 8: OWNERSHIP OF CONFIGURATIONS

The user of WiFiCloudNet retains full ownership in any configuration served through WiFiCloudNet.

SECTION 9: PROHIBITED USES

You shall not post, transmit, retransmit, cache, or store material on or through WiFiCloudNet's Service which, in the sole judgment of WiFiCloudNet (a) is in violation of any local, state, federal, or foreign law or regulation, (b) is threatening, obscene, indecent, defamatory, or that otherwise could adversely affect any individual, group, or entity (collectively, 'Persons'), or (c) violates the rights of any Person, including rights protected by copyright, trade secret, patent, or other intellectual property or similar laws or regulations including, but not limited to, the installation or distribution of 'pirated' or other software products that are not appropriately licensed for Your use. You agree that you will NOT knowingly use the Service, among other things, to:

1. upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

2. Harm minors in any way;

3. Impersonate any person or entity, including but not limited to a WiFiCloudNet official, forum leader, guide, or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;

4. Forget headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Service;

5. Upload, post, transmit, or otherwise make available any content that You do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary, and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

6. Upload, post, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

7. Upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, 'junk mail,' 'spam,' 'chain letters,' 'pyramid schemes,' or the like;

8. Upload, post, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;

9. Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;

10. Intentionally or unintentionally violate, attempt to violate, or avoid any applicable ICANN regulation or policy;

11. Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the Indian Securities and Exchange Commission, any rules of any national or other securities exchange and any regulations having the force of law;

12. Provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the any government as a foreign terrorist organization pursuant to the applicable provision of the respective countries.

13. Promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals. This may include, but is not limited to, providing instructions on how to assemble bombs, grenades, and other weapons, and creating 'Crush' sites.

You agree to indemnify and hold harmless WiFiCloudNet from any claims resulting from the use of the Services which damages you or any other party. WiFiCloudNet reserves the right to investigate you, your business, and/or your owners, officers, directors, managers, and other principals, your sites, and the materials comprising the sites at any time. These investigations will be conducted solely for WiFiCloudNet's benefit, and not for your benefit or that of any third party. If the investigation reveals any information, act, or omission, which in WiFiCloudNet's sole opinion,constitutes a violation of any local, state, federal, or foreign law or regulation, or this Agreement, WiFiCloudNet may immediately shut down the Service. You agree to waive any cause of action or claim you may have against WiFiCloudNet for such action.

SECTION 10: INDEMNITY

You agree to indemnify and hold WiFiCloudNet, and its employees, harmless from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your connection to the Service, your violation of the Terms of Service, or your violation of any rights of another.

SECTION 11: RECORDS OF wificloudnet.com VISITOR USE AND ABUSE

As a visitor to wificloudnet.com and a user of the WiFiCloudNet Service, you consent to having your Internet Protocol address recorded and your activities monitored to prevent abuse. Abuse includes but is not limited to:

1. Attempting to gain unauthorized access to the service, other accounts, computer systems or networks connected to the service, through password mining or any other means.

2. Transmitting any material that contains viruses, Trojan horses, worms, time bombs, cancel bots, or any other harmful or deleterious programs.

3. Interfering with or disrupting networks connected to the service or violating the regulations, policies or procedures of such networks.

4. Creating a false identity or otherwise attempting to mislead others as to the identity of the user that is utilizing wificloudnet.com.

5. Violating intentionally or unintentionally any applicable local, state, national or international law.

SECTION 12: DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

wificloudnet.com IS PROVIDED BY WiFiCloudNet ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. WiFiCloudNet MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF wificloudnet.com , THE EFFECTIVENESS OF ITS SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON wificloudnet.com . YOU EXPRESSLY AGREE THAT YOUR USE OF wificloudnet.com IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, WiFiCloudNet DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WiFiCloudNet MAKES REASONABLE EFFORTS, BUT DOES NOT WARRANT THAT wificloudnet.com , ITS SERVERS, OR EMAIL SENT FROM ANY OF ITS DOMAINS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WiFiCloudNet WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE wificloudnet.com , INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

SECTION 13: TERMINATION

WiFiCloudNet's policy is to investigate violations of these Terms of Service and terminate repeat infringers. You agree that WiFiCloudNet may, under certain circumstances and without prior notice, immediately terminate your WiFiCloudNet account, any associated email address, and access to wificloudnet.com and associated Services. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the Terms of Service or other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) discontinuance or material modification to the Service (or any part thereof); (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; (g) you have engaged or are reasonably suspected to be engaged in fraudulent or illegal activities; (h) having provided false information as part of your account; (i) having failed to keep your account complete, true, and accurate; (j) any use of the Service deemed at WiFiCloudNet's sole discretion a Prohibited Use as defined above; and/or (k) nonpayment of any fees owed by you in connection with WiFiCloudNet.com and associated Services. Further, you agree that all terminations for cause shall be made in WiFiCloudNet's sole discretion and that WiFiCloudNet shall not be liable to you or any third-party for any termination of your account, access to the Service, or any disruption to your services such a termination may cause. You expressly agree that in the case of a termination for cause you will not have any opportunity to cure. You further acknowledge and agree that not withstanding any termination, your obligations to WiFiCloudNet set forth in Sections 8, 9, 10, 11 and 12 shall survive such termination.

SECTION 14: APPLICABLE LAW

By visiting wificloudnet.com, you agree that the laws of India, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and WiFiCloudNet or its affiliates. Any dispute or claim arising out of or in connection with this Agreement shall be adjudicated in Ahmedabad - Gujarat, India.

SECTION 15: MODIFICATIONS

WiFiCloudNet may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on wificloudnet.com. In addition, the Agreement will always indicate the date it was last revised. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted.

SECTION 16: LINKS

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because WiFiCloudNet has no control over such sites and resources, you acknowledge and agree that WiFiCloudNet is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that WiFiCloudNet shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content.

SECTION 17: NO THIRD PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in this Terms of Service, there shall be no third party beneficiaries to this Agreement.

SECTION 18: REFUND

As per the aforementioned WiFiCloudNet.com Conditions of Subscription, WiFiCloudNet reserves the right to cancel subscription at any time for breaches of its membership conditions. If a customer / member contravene WiFiCloudNet terms of service a refund will not be issued in the event of such a cancellation. Your statutory rights are not affected by these terms of Services.

SECTION 19: SEVERABILITY OF TERMS

If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.

SECTION 20: PRIVACY

"Personal Information," as used in this Policy, is information that specifically identifies an individual, such as an individual's name, address, telephone number, or e-mail address. Personal Information also includes information, such as demographic information (e.g., date of birth, gender, geographic area, and preferences), when any of this information is linked to Personal Information that identifies that individual.

Personal Information does not include "aggregate" or other non-personally identifiable information. Aggregate information is information that we collect about a group or category of products, services, or users that is not personally identifiable or from which individual identities are removed. We may use and disclose aggregate information, and other non-personally identifiable information, for various purposes at our sole discretion and without notice or liability to you.

Collection of Information
We collect Personal Information that our users provide to us in a variety of ways on our Services. These include the following:

User Accounts and Profiles
Our Services may give you the ability to register for an account or to create and update a user profile. If we offer user account or profile functionality on the Services, we will collect the Personal Information that you provide to us in the course of registering for an account or creating or updating a user account or profile. This information may include, for example, name, postal address, telephone number, e-mail address, and related demographic information about you. We may indicate that some Personal Information is required for you to register for the account or to create the profile, while some is optional.

Logging into Networks
Certain networks using our Services may require users to establish or use login credentials. In connection with supporting this log-on functionality, we may collect information such as email addresses, telephone numbers, or user or administrator-created usernames, along with user-created or administrator-created passwords, to facilitate such log-on functionality and otherwise to provide our Services.

Network Usage Information Collected by Our Services
Some of our Services collect information from terminal devices connected to networks that are managed by those Services. Those Services also collect information regarding the performance of, and certain other information regarding, such networks. This information includes, for example, MAC address, device type, operating system, geo location information, and network traffic information (e.g., hostnames, protocols, port numbers, and IP addresses). This information is made available to administrators of networks managed by our Services through an online interface that we call the “dashboard”.

E-mail Newsletters
We may offer e-mail newsletters from time to time on our Services. If you sign up to receive a newsletter from us, we collect your e-mail address.

Correspondence
If you contact us by e-mail, using a contact form on the Services, or by other means, we collect the Personal Information contained within, and associated with, your correspondence.

Passive Information Collection
When you use or visit our Services, some information is collected automatically. For example, when you access our Services, we automatically collect your browser’s Internet Protocol (IP) address, your browser type, the nature of the device from which you are visiting the Services (e.g., a personal computer or a mobile device), identifiers for any handheld or mobile device that you may be using, the Web site that you visited immediately prior to accessing any Web-based Services, the actions you take on our Services, and the content, features, and activities that you access and engage with on our Services. We also may collect information regarding your interaction with e-mail messages from WiFiCloudNet, such as whether you opened, clicked on, or forwarded a message.

We may collect this information passively using technologies such as standard server logs, cookies, and clear GIFs . We use passively-collected information to administer, operate, maintain and improve our Services and our other services and systems and to provide content that is tailored to you.

If we link or associate any information gathered through passive means with Personal Information, or if applicable laws require us to treat any information gathered through passive means as Personal Information, we treat the combined information as Personal Information under this Policy. Otherwise, we use and disclose information collected by passive means in aggregate form or otherwise in a non-personally identifiable form.

Please be aware that in the course of your use of the Services, websites or other services provided by third parties ("Third-Party Services"), including, for example, Google MAP, We do not have access to, or control over, the actions of Third-Party Services. Each provider of Third-Party Services uses information that it collects in accordance with its own privacy and security policies. We are not responsible for the activities of other parties that may not comply with your opt-out requests.

Information from Other Sources
We may receive information about you, including Personal Information, from affiliated and unaffiliated third parties, and may combine this information with other Personal Information we maintain about you. If we do so, this Policy governs any combined information that we maintain in personally identifiable format.

We use Personal Information and other information we collect to do any of the following: provide services to our customers; provide information and otherwise respond to your requests, including sales inquiries, email requests, and shipping requests; enhance, improve, operate, maintain, and debug the Website, our other Services, and our other programs, services, Web sites, and systems; improve the effectiveness of our Website as a marketing tool and optimize the performance of the Website and our other Services; prevent fraudulent use of our Services and other systems; to prevent or take action against activities that are, or may be, in violation of the WiFiCloudNet Terms and Conditions, or applicable law; to tailor content and other aspects of your experience on and in connection with the Services; maintain a record of our dealings with you; for other administrative purposes; and for any other purposes that we may disclose to you at the point at which we request your Personal Information, and pursuant to your consent.

We may also use Personal Information you provide to contact you regarding products, services, and offers, both from ourselves and third parties, that we believe you may find of interest. We allow you to opt-out from receiving marketing communications from us as described in the “Choice” section below.

Disclosure of Information
Except as described in this Policy, we will not disclose your Personal Information that we collect on the Services to third parties without your consent. We may disclose information to third parties if you consent to us doing so, as well as in the following circumstances:

Service Providers
We may disclose Personal Information to third-party service providers (e.g., payment processing and data storage and processing facilities) that assist us in our work. We limit the Personal Information provided to these service providers to that which is reasonably necessary for them to perform their functions, and we require them to agree to maintain the confidentiality of such Personal Information.

We also may disclose Personal Information and other information if we believe that doing so is legally required or is in our interest to protect our property or other legal rights (including, but not limited to, enforcement of our agreements) or the rights or property of others, or otherwise to help protect the safety or security of our Services or other users of the Services.

SECTION 22: MISCELLANEOUS

1. The headings used in this Agreement are for convenience of reference only and do not affect the meaning or construction of this Agreement.

2. The official language of this Agreement is English. All contract interpretations, notices and dispute resolutions will be in English. Any attachments or amendments to this Agreement will be in English. Translations of any of these documents will not be construed as official or original versions of such documents.
